Position Overview
We are looking for a sharp, commercially minded Legal Counsel to be our first dedicated in-house lawyer — owning corporate, contractual, and regulatory legal work across our group and helping us scale responsibly at the intersection of traditional finance and Web3.

What you'll do
- Corporate & Entity Management. Manage corporate secretarial and governance matters across group entities — board and shareholder resolutions, statutory registers, filings, and annual compliance. Support entity incorporation, restructuring, and cross-border group structuring, including intercompany agreements. Define fundraising, equity, and token-related instruments — SAFEs, SAFTs, shareholder agreements, and ESOP/token incentive plans.
- Commercial & Contracts. Draft, review, and negotiate commercial agreements — customer and partner agreements, NDAs, MSAs, SLAs, and vendor, technology, and service contracts. Build and maintain a contract repository and standard templates with clear owners, playbooks, and approval workflows. Review website/product terms, privacy policies, product disclosures, and marketing materials.
- Web3 & Regulatory. Advise on the legal and regulatory treatment of digital assets, tokenised RWAs, stablecoins, DeFi protocols, and custody arrangements, and create the relevant documentation. Track and interpret regulatory developments across key markets (Middle East, India, SEA, Japan, North America) and regulators (FINTRAC, CIMA, BVI, VARA/ADGM, MAS, SEBI/RBI, MiCA), and translate them into practical guidance. Work closely with the MLRO and Compliance team on AML/KYC, licensing, and regulatory filings.
- Risk, Disputes & External Counsel. Identify and mitigate legal risk across products, partnerships, and operations. Coordinate and manage external law firms across jurisdictions, controlling scope, quality, and cost. Support IP protection, data protection (DPDP Act, PIPEDA, GDPR), and employment-related legal matters.
Qualifications
- LLB / LLM from a recognised institution; enrolled with a Bar Council or equivalent licensing body.
- 3–4 years of post-qualification experience at a law firm and/or in-house, with a strong corporate and commercial practice.
- Demonstrable exposure to Web3, crypto, fintech, or digital-asset matters.
- Experience handling international/cross-border transactions and working with multi-jurisdiction counsel.
- Preferred: familiarity with financial-services regulation (payments, MSB, VASP regimes) and tokenisation frameworks.
